ICSM News In Brief: Wilko on the brink of administration; Interest rate hike forces more firms to the wall; print firm collapses; anatomy of a company failure; theatre company goes bust; plus a list of firms who hit the buffers recently

The listing of companies who have gone bust is divided into five main sections in Runners and Riders listed below.
Wilco on the brink
Founded in the 1930s as a hardware store in Leicester Wilko has become a well known high street store often replacing the gap left by Woolworths when it went bust in offering a huge range of goods from washing powder to babecues and from teapots to tea towels. The family firm has struggled with the lockdowns, high interest rates, heavy rain in July and a lower footfall and have issued a notice filed a notice of intention to call in adminstrators this week. Ian Carrotte of ICSM said this was another body blow to the high street and not only puts the jobs of the 12,000 staff in jeapody but a real concern to the hundreds of suppliers who must now be worried they won't get paid. Interest hikes
The news of another rise in interest rates this week is the last think people in business wanted to hear and it will also signal the collapse of more companies as the rate of borrowing forces them into insolvency. The Bank of England (BoE) has increased the UK's interest rate - or base rate - for a 14th consecutive time by 0.25% - from 5% to 5.25% - the highest rate since April 2008. The reason given by the bank is the high level of inflation which remains far higher than the target of 2%. Food inflation is around 17%, while the latest update from the Office for National Statistics (ONS) puts the Consumer Prices Index (CPI) level at 7.9% with the core figure still around 6.9% suggest there is someway to go for the Government in their battle to lower inflation. There was a 27% year-on-year rise in insolvencies in June, which has partly been put down to interest rate rises which mean huge rises in the cost of loans.
Print firm collapses
The Peterborough printing firm Fisherprint Limited is the latest print business to hit trouble. The trade journal Print Week has reported the company are no longer taking orders but their signage section continues in business. Founded in 1947 the firm has ceased trading making its 31 staff redundant. Print Week reported it specialised 'in pharmaceutical and corporate print.' But in recent years it had switched to suppliers using carbon capture schemes, started offering a fulfilment service, and began manufacturing packaging. the publication reported taht energy prices had increased from £6,500 a month to £40,000 in December.
Anatomy of a business failure
Haulage firm Brit-Pol collapsed in January but the circumstances behind the anatomy of its business failure have been revealed in a report. Writing in Motor Transport Chris Tindall reported: "The Lincolnshire haulage contractor was forced to appoint administrators at BDO after a torrid 12 months beginning in December 2021. The company, which was incorporated in 2011, had been growing for several years by this point and it entered into a factoring agreement to enable it to receive 2.8m Euros per month. However, the administrators said this facility was terminated due to a breach of agreement at a time when the international haulier was turning over £16.3m and making pre-tax profits of £1.2m. This had a huge impact on cash flow and so Brit-Pol worked with a new accountant in order to restructure its business and hopes were raised that its liabilities could be settled by May 2022, keeping all 250 staff in employment."
Motor Transport said that the firm had reduced sales in Europe last year with the Russian invasion of Ukraine causing a downturn along with a port strike in Germany, and a threat by the traffic commissioners threatening to revoke the company’s operator licence over financial concerns. Next up was a cyber attack on its transport management system, which caused three of their best customers to walk leaving a hole in their cash flow. More problems occured with a strike at Felixstowe the loss of a shippping company and wage increases for drivers resulting in a vain attempt to survive with a fire sale of trucks. Administrators at BDO reported that unsecured creditors’ claims were £2.3m, which included employees’ claims for redundancy and notice pay and there will be no funds to pay them.
Theatre of debt
The Stage newspaper - the trade journal for the acting and theatre professionals has reported on the collapse of the touring production The Big O Project which they report has left the actors and crew thousands of pounds out of pocket after the show’s production company became insolvent. The cast and crew are owed according to The Stage around £30,000 in back pay - which may be small beer for many firms but for those earning an honest wage treading the boards it can mean financial problems from being unable to pay the rent or the gass bill. The Stage reported: "The Big O Project, written by Kim Cormack, was also produced by Cormack (pictured) through The Big O Project Ltd. Speaking to The Stage, Cormack insisted that she intends to repay all the money, through instalment plans, and said the company was being struck off due to 'debt and [her] becoming physically and mentally disabled'.
The Big O Project ran from April to June, beginning in Coventry at the Belgrade Theatre and ending at the Midlands Arts Centre in Birmingham. It had a three-week run at the King’s Head Theatre in London but was reported to have financial problems in May when invoices remained unpaid. One actor owed more than £4,000 and said: "I spent a couple of years getting into a good financial position but I have now gone through all my savings and am no longer in a position where I can pursue my career. I don’t have the time in the week I would have had if the money had been there."
Ian Carrotte of ICSM said although the theatre company's problems are dwafed by those of Wilko the effects these collapses have on individuals can be life changing. He said: "As soon as an invoice is not paid by the due date you must take action as it is a sign something is wrong. We have a micro debt service which ensures invoices of just a £100 or even less can be chased up and settled with a reluctant accounts department. Never allow things to slide is our motto - act immediately and don't allow more credit."

Types of Insolvency
Administration
Administration applies to limited companies and partnerships and is intended to get the company out of trouble and trading again if possible. Administrators can be appointed to a company that is unable, or is likely to become unable, to pay its debts. They can be appointed by the courts (on application from a creditor, directors or partners), the holder of a qualifying floating charge over the assets of the business, or the company or its directors. An administrator's primary goal is to rescue the company as a going concern. If this isn't possible, the administrator will try to get a better result for the creditors than would be possible if the company was wound up. If neither of these is possible, the administrator will sell the company's property to make at least a partial payment to one or more secured or preferential creditors, such as employees or the bank.

This statement by the administrator of his proposals must be accompanied by an invitation to an initial creditors' meeting (Sch B1, para 51(1)).
Bankruptcy
This can only apply to individuals (including sole traders and individual members of a partnership). Bankruptcy petitions may be presented to the court by the individual, by creditors who are owed £750 or more, or by the supervisor of an individual voluntary arrangement. A bankruptcy order is made by the court.
Company Voluntary Arrangement (CVA)
A company comes to an arrangement with its creditors to pay the debts in full or in part over time. A CVA begins with the company (or its adviser) drafting a formal proposal at a Creditors' Meeting to pay part or all of the debts. If the proposal is accepted by the creditors, the arrangement will become legally binding and the directors will retain control of the company.
Compulsory Liquidation
This is the winding up of a company or a partnership by a court order (a winding up order). A petition is normally presented to the court by a creditor stating that he or she is owed a sum of money by the company and that the company cannot pay.
The Official Receiver becomes liquidator when the order is made but an Insolvency Practitioner will be appointed to take over if the company has significant assets. The liquidator's role is to realise the company's assets, pay all the fees and charges arising from the liquidation, and pay the creditors as far as funds allow in a strict order of priority.
Compulsory Liquidators Appointed S 136
When a winding-up order has been made, the Official Receiver is initially appointed as liquidator (section 136, IA 1986). The company's creditors and contributories may appoint another individual, who must be a registered insolvency practitioner, to act as liquidator (section 139, IA 1986). More than one liquidator can be appointed to act jointly.
Creditors' Voluntary Liquidation
Here the shareholders pass a resolution to wind the company up without the need for a court order. A Creditors' Meeting is held to nominate the appointment of a liquidator and consider a statement of affairs. Creditors can appoint a committee to work with the liquidator, whose role is to realise the company's assets, pay all the fees and charges arising from the liquidation, and pay the creditors as far as funds allow in a strict order of priority.
Creditors' Voluntary Liquidation Deemed in Consent Meeting
Creditors are now 'deemed to have consented' to a decision or resolution if 10% of creditors (by value) have not objected to it. In other words, if objections are not received by the specified decision date, creditors are 'deemed to have consented' to the decision or resolution.
Individual Voluntary Arrangement (IVA)
An individual comes to an arrangement with creditors to pay his/her debts in full or in part over time as an alternative to bankruptcy. The arrangement is set up by a licensed Insolvency Practitioner who will put it to a meeting of creditors. If the proposal is accepted at the meeting, the agreement reached with the creditors will be legally binding. An Interim Order is sometimes issued by a court and will immediately protect the debtor from any legal action by creditors.
Petitions to Wind Up
A winding up petition is a legal notice put forward to the court by a creditor. The application, in effect, asks the court to liquidate the company as they believe the company is insolvent. Proceeds of the liquidation can be used to pay back creditors.
